1. Corporate Ownership and Governance

The SDrive Mobility & Delivery Application ("Application") is a newly developed project under the umbrella of Summerset Continental Group Limited, headquartered in Guinea. The project is fully owned and operated by Summerset Continental Group Limited in partnership with SDrive. Corporate leadership is vested in Chief Executive Officer (CEO): Mr. Ibrahim Suleman. All intellectual property, trademarks, logos, and operational rights associated with the Application remain the exclusive property of Summerset Continental Group Limited and SDrive.

1.1 Group Oversight

Summerset Continental Group Limited maintains oversight through its Board of Directors, ensuring compliance with international standards, financial accountability, and operational transparency. Regular audits and compliance reviews are conducted to safeguard the interests of stakeholders.

4. User Eligibility

Users must be at least 18 years old and legally capable under local law to enter binding contracts. Drivers, couriers, and vehicle owners must hold valid licenses and comply with transport regulations.

5. Account Registration and Use

Users must provide accurate personal details. Accounts are personal and non-transferable. Fraudulent or unlawful activity may result in suspension or termination.

6. Fleet Participation by Car Owners

SDrive permits privately owned vehicles within the applicable country to join its operational fleet, subject to inspection and approval by the Company compliance division. Vehicle owners must submit their cars for technical and service quality inspection prior to activation on the platform. Approval is contingent upon meeting safety, performance, and customer service standards established by SDrive.

Inspections may be re-conducted at any time without prior notice. In cases of misconduct, poor service quality, or failure to meet inspection standards, the vehicle owner may face fines, suspension of services, or permanent removal from the fleet. Participation in the SDrive fleet does not constitute a leasing arrangement but rather a conditional affiliation subject to ongoing compliance.

Delivery timelines are estimates. Users must provide accurate addresses. Hazardous or restricted items cannot be transported. Couriers are independent contractors. Misconduct or harassment will be penalized under Company policy and local laws.

8. Pricing and Payments

All prices are displayed in local currency. Payments may be made via mobile money, card, or cash. Refunds are processed in accordance with consumer protection law.

9. Charging Stations

Charging billed per unit consumed. Users must comply with safety protocols. Unauthorized tampering may result in legal action.

10. Data Privacy and Security

User data is collected and processed in compliance with applicable e-commerce and internet regulations. Data may be shared with authorities if required by law. SDrive does not sell personal data.

11. Liability and Indemnity

SDrive is not liable for delays, accidents, or damages caused by third parties. In case of accidents, compensation is provided strictly in accordance with Company policy and insurance coverage. SDrive shall not be held liable for loss, theft, or forgotten items. Users indemnify SDrive against claims arising from misuse of vehicles, equipment, or services.

12. Compliance with Local Laws

All services comply with transport, customs, and delivery standards in Guinea, Rwanda, Ivory Coast, UAE, Niger, and other jurisdictions as updated. Users must not use the Application for unlawful purposes.

13. Termination and Suspension of Services

SDrive may suspend or terminate services for violations. Suspension may be imposed with immediate effect, without prior notice, and may include financial penalties, account restrictions, or removal from the platform. Grounds for suspension include:

Reinstatement is subject to review and approval by SDrive compliance division.

14. Amendments

SDrive reserves the right to revise, amend, or update these Terms & Conditions from time to time, including the list of applicable jurisdictions. Continued use of the Application after amendments constitutes acceptance.

SDrive shall not be liable for failure to perform obligations due to events beyond reasonable control.

16. Governing Law and Applicable Jurisdictions

These Terms & Conditions shall be interpreted and enforced in accordance with the laws of the Republic of Guinea, the Republic of Rwanda, the Republic of Cote d'Ivoire (Ivory Coast), the United Arab Emirates, and the Republic of Niger, as applicable to the territory in which the services are provided. Future jurisdictions will be added as operations expand. In case of conflict, mandatory provisions of local law shall prevail.

17. Severability

If any provision is found invalid, the remaining provisions remain enforceable.

18. Notices

All official notices shall be delivered via email or through the Application. Users may request a comprehensive copy of Terms & Conditions in writing from the Company Head Office.

Expanded standards for couriers, including dress code, safety gear, and customer interaction protocols. Case studies illustrate acceptable vs. unacceptable behavior, with enforcement mechanisms tied directly to local labor and transport law.

Annex II - Leasing Agreement Template

A comprehensive sample contract covering vehicle and equipment details, lease duration, payment terms, insurance obligations, maintenance responsibilities, return conditions, and termination clauses. Includes dispute resolution pathways, insurance claim handling, and early termination provisions to protect company interests.

Annex III - Charging Station Safety Manual

Detailed step-by-step charging procedures, emergency response scenarios, and illustrative diagrams. Liability disclaimers are included alongside compliance references to electrical safety regulations, ensuring both user safety and company protection.

Annex IV - Consumer Complaint Handling Procedure

A structured escalation matrix (customer -> supervisor -> compliance team -> regulator), with timelines for acknowledgment, investigation, and resolution. Confidentiality provisions and regulator escalation pathways are detailed to align with consumer protection law.

Annex V - Restricted Items List

Comprehensive customs categories and prohibited goods, including hazardous chemicals, weapons, counterfeit goods, and narcotics. Enforcement measures and penalties are clearly defined, ensuring compliance with international trade and customs regulations.

Annex VI - Data Protection Policy

GDPR-style rights (access, correction, deletion, portability, objection), encryption standards, and compliance with both local e-commerce frameworks and international privacy laws. This annex demonstrates proactive alignment with global data governance.
